These Terms of Service ("Terms") govern your access to and use of the AssurAI platform operated by AssurAI Inc., a Delaware C-Corporation ("AssurAI", "we", "us", or "our"). By creating an account or using the platform, you agree to be bound by these Terms.
Enterprise customers who have executed a separate SaaS Subscription Agreement are also bound by the SaaS Subscription Agreement, which supersedes these Terms to the extent of any conflict. For all other users, these Terms constitute the entire agreement.
If you are using AssurAI on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
AssurAI uses artificial intelligence to assist with audit documentation, control evaluation, evidence classification, and workpaper preparation. All AI-generated content — including but not limited to Management Review Control (MRC) evaluations, process narratives, reconciliation analyses, and workpaper conclusions — is provided as a draft for review purposes only.
AI-generated outputs do not constitute professional audit opinions, legal advice, accounting advice, or regulatory compliance determinations. All outputs require review, validation, and sign-off by qualified audit professionals before use in engagement files, regulatory submissions, or any other professional context.
AssurAI's deterministic AI features (temperature=0) are designed to produce consistent outputs from identical inputs. However, consistency does not imply accuracy, completeness, or fitness for any particular purpose. Users remain solely responsible for the accuracy of all work product derived from AssurAI outputs.
By uploading documents to AssurAI, you represent and warrant that:
Documents prepared by external auditors, consultants, or other third parties may be subject to copyright or confidentiality restrictions. You are solely responsible for ensuring you have appropriate rights before uploading such documents.
AssurAI processes uploaded documents to provide analysis and generate outputs. Prior year workpapers, Risk Control Matrices, and other uploaded files are processed in your session. AssurAI does not claim ownership of uploaded documents or outputs generated from them.
AssurAI generates SHA-256 cryptographic hashes of uploaded evidence documents and provides Evidence Integrity Certificates. These certificates are provided as a convenience tool to assist with audit trail documentation.
Evidence Integrity Certificates are not legal certifications and do not constitute notarisation, authentication, or verification of document authenticity under any applicable law. The SHA-256 hash confirms only that the digital file has not been modified since upload — it does not verify the accuracy, completeness, or authenticity of the document contents.
Users should not represent Evidence Integrity Certificates as legal documents or regulatory certifications without independent legal advice on their admissibility in the relevant jurisdiction or proceeding.
AssurAI's BSA/AML Compliance Module is a workflow documentation and audit assistance tool. It is designed to assist compliance teams with documentation, testing workflows, and program assessment activities.
The BSA/AML module does not constitute:
Institutions subject to BSA/AML requirements must consult qualified legal counsel, compliance officers, and regulatory specialists. AssurAI outputs from the BSA/AML module require review and validation by qualified professionals before use in regulatory submissions, examination responses, or program documentation.
We strongly recommend that users do not upload real customer personally identifiable information (PII) or real transaction data to AssurAI. Use anonymised or sample data for documentation and testing purposes.

References to PCAOB standards, IIA standards, BSA/AML requirements, and other regulatory frameworks are for informational purposes only and do not imply regulatory approval, endorsement, or certification of AssurAI's platform or outputs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASSURAI INC. SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, FINE, PENALTY, OR OTHER CONSEQUENCE ARISING FROM:
USERS ACKNOWLEDGE THAT AI-GENERATED CONTENT REQUIRES HUMAN REVIEW AND THAT ASSURAI IS A DOCUMENTATION TOOL, NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.
AssurAI's total aggregate liability in connection with these Terms shall not exceed the total fees paid by you in the twelve months preceding the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.
AssurAI uses Anthropic's Claude API to power AI features. By using AssurAI, you acknowledge that:
Anthropic does not use API customer data to train its models. AssurAI has a Zero Data Retention (ZDR) agreement with Anthropic, meaning your data is not retained by Anthropic after processing.
Enterprise customers may request Private Cloud (VPC) or On-Premises deployment options. Specific terms, SLAs, data processing agreements, and security requirements for Enterprise deployments are governed by a separate Enterprise Agreement. The standard Terms of Service apply to all users unless superseded by an Enterprise Agreement.
Data Processing Agreements (DPAs) are available for customers requiring GDPR compliance documentation. Contact shakeel@getassurai.com to request a DPA.

Subject to these Terms and payment of applicable fees, AssurAI grants you a non-exclusive, non-transferable right to access and use the platform during your subscription term, solely for your internal business purposes.
You shall not: (a) sublicense, resell, or provide access to third parties outside your organisation; (b) reverse engineer or attempt to extract source code; (c) use the platform to build a competing product; (d) remove proprietary notices; or (e) use the platform in violation of applicable law.
You are responsible for all activities under your account. Notify us immediately of any unauthorised access at hello@getassurai.com.
Subscription fees are billed monthly or annually in advance. All fees are in USD and non-refundable except as expressly stated. We may change fees with 30 days written notice.
AssurAI owns all right, title, and interest in the platform, including all software, algorithms, AI models, user interfaces, and the AssurAI brand. "AssurAI" and "GetAssurAI" are trademarks of AssurAI Inc. (USPTO applications pending).
You own all data you upload and all AI-generated outputs produced using your data. AssurAI claims no ownership of your workpapers, reports, or other content.
If you provide feedback or suggestions, you grant AssurAI a non-exclusive, royalty-free licence to use that feedback to improve the platform.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Disputes shall be resolved by binding arbitration under JAMS rules in Santa Clara County, California. Class action waivers apply to the maximum extent permitted by law.
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect.
We may update these Terms from time to time. We will notify you by email or prominent notice in the platform. Continued use after notice constitutes acceptance of the updated Terms.
